Requirement of Registration 

  1. Sole proprietorship or enterprise need to register the business within thirty (30) days from the date of start-up
  2. The minimum valid period for a business registration is one (1) year while the maximum valid period is five (5) years
  3. The nature of the registered business shall not violate any laws or be likely to be used for illegal purposes or any purpose harmful to or incompatible with the security of the Federation, public order, or morals.
  4. Business Registration Certificate can be acquired within one (1) hour of the payment transaction.
  5. A person who does business without registering a business commits an offence under the Registration of Business Act 1956, and, if found guilty, there is a fine of up to RM50,000.00 or imprisonment for up to two (2) years, or both.
  6. Even if a firm is registered with SSM, the proprietor is responsible for obtaining licences, permits, or permission letters from other necessary authorities in order to conduct the business.

There are a few requirements for an entrepreneur to fulfill in order to register sole proprietorship or enterprise in Malaysia.

  1. An individual must be a Malaysia Citizen or a permanent resident in Malaysia
  2. An individual or partners need to be aged at 18 years and above
  3. Only the owner or partner is eligible to apply.

Registration fee

Business can be register by using an individual personal name or using a trade name. The registration fee needed when register for a sole proprietorship in Malaysia are as below:

  1. The registration fee of using a personal name as per identity card is RM 30
  2. The registration fee of using a trade name is RM 60
  3. Registration of branches cost RM 5 for each branch
  4. To print out the business information cost RM 10.60

A sole proprietorship or enterprise is regulated under the Registration of Business Act 1956 whereby the owner and the business are considered as one entity. Since it categorized as one entity, thus the owner is liable to all the debt incurred by the business. In order to run the business smoothly, capital is one of the important components to think of. The first source of capital that a sole proprietor can use is their own money. Other than that, they can also raise the capital from their family or friend. In order to run the business, as the business owner will also need to consider recruiting employees and will need to take the responsible for interviewing and recruiting employees.

As a sole proprietor, you will also be responsible to do a bookkeeping and payroll unless you recruit an accountant. You will need to record all the profit and loss, expenses and the payroll for employees. This will be time consuming and busy, if you are running the business without any helping hand.  

Forming a sole proprietorship is a simple and affordable process. In all circumstances, there are no or minimal expenses, and there is very little paperwork. In addition, sole proprietorship need to follow only a few regulatory criteria. Unlike corporations, the sole proprietor does not have to devote time and money to numerous regulatory regulations such as financial information reporting to the public. On the other hands, owner of a sole proprietorship is only taxed once. The sole proprietor pays just personal income tax on the entity's profits.

There are pros and cons of being a sole proprietor. However, this can be the most suitable business structure for you, if you are operating a home-based business with less contact with the customer and no carry inventories such as a freelance writer, home based tutor or a financial planner. A home-based business does not have a lot of the expenses and added paperwork of hiring employees.
